(the “Provider”)
and the business that orders the service (the “Client”).
1.2 The service is intended exclusively for businesses. The contractual relationship is governed by Slovak Act No. 513/1991 Coll., the Commercial Code. The Provider does not provide the service to consumers.
1.3 If an individual offer or written contract differs from these Terms, the offer or contract prevails.
2. Definitions
- Service — the creation, customization, publication and operation of a mobile app for the Client within the scope set out in the Offer.
- App — a mobile app for iOS and Android published under the Client’s name and brand, including the admin and the server side needed for it to run.
- Platform — the Provider’s software, source code, templates and infrastructure on which the App is built.
- Offer — the Provider’s individual quote, which sets out the scope of the Service, the price and other terms.
- Stores — the Apple App Store and Google Play.
- End Users — the Client’s customers who use the App.
- Client Content — logos, texts, images, prices, promotions, messages and other materials that the Client supplies or publishes through the App.
3. Formation of the contract
3.1 The contract is formed when the Client accepts the Offer in writing, including by email, by signing a contract, or by paying the first invoice.
3.2 The contract is concluded for an indefinite period unless the Offer states otherwise.
4. Scope of the Service
4.1 Unless the Offer states otherwise, the Service includes:
- customizing the App to the Client’s visual identity and setting up features according to the Offer (e.g. loyalty program, rewards, bookings, messages and push notifications),
- preparing the App for publication and submitting it for review to the Stores,
- operating the server side and hosting the App,
- routine maintenance, in particular fixing bugs on the Platform side and changes needed to stay compatible with new versions of iOS, Android and Store rules.
4.2 Unless agreed otherwise, the Service does not include: design and content changes after launch, new features, custom development, building websites, creating marketing content or managing communication with End Users. The Provider will carry out such work under a separate order at the price set out in the Offer or in a cost estimate agreed in advance.
5. Client cooperation
5.1 The Client must supply in good time the materials needed to create the App (in particular logo, colors, texts, images, location information and loyalty program rules) and provide any further cooperation the Provider requests.
5.2 The App is published under the Client’s developer accounts in the Stores. The Client will set up an Apple Developer Program account and a Google Play Console account, keep them active, and grant the Provider the access needed to publish and manage the App. The Client pays the fees for these accounts directly to the Store operators unless the Offer states otherwise.
5.3 The Client declares that it holds all necessary rights to the Client Content and that its use in the App does not infringe the rights of third parties.
5.4 The Provider’s deadlines are extended by any period during which the Client failed to provide the necessary cooperation.
6. Publication in the Stores
6.1 Approval and publication of the App are decided solely by the Store operators. The Provider will prepare the App to comply with their rules, but cannot guarantee its approval or the time it takes.
6.2 If a Store rejects the App, the Provider will make reasonable changes and resubmit it. If the rejection is caused by Client Content or by the settings of the Client’s developer account, the Client will fix it at its own cost.
6.3 The Provider is not liable for removal of the App from a Store, restriction of its features, or changes to Store terms that it did not cause.
7. Price and payment terms
7.1 The price of the Service is set out in the Offer. It usually consists of a one-time setup fee for the App and a recurring monthly operating fee. The Provider is not a VAT payer; it is registered for tax under § 7a of Slovak Act No. 222/2004 Coll. on Value Added Tax. Prices stated in the Offer are final. For services provided to a VAT-registered Client established in another EU member state, the Client is liable to pay the tax (reverse charge).
7.2 The one-time fee is payable on an invoice issued after the Offer is accepted, unless the Offer states otherwise. The monthly fee is invoiced monthly in advance, starting with the month in which the App was first published in one of the Stores.
7.3 Invoices are due within 14 days of issue and are sent electronically to the Client’s email.
7.4 In the event of late payment, the Provider is entitled to default interest under the Commercial Code. If the Client is more than 30 days late, the Provider may, after prior notice by email, suspend the Service until the outstanding amount is paid. Suspension does not affect the obligation to pay the monthly fee.
7.5 The Provider may change the monthly fee by notifying the Client at least 30 days in advance. If the Client does not agree with the change, it may terminate the contract with effect from the date the change takes effect.
8. Operation and availability
8.1 The Provider makes reasonable efforts to keep the App continuously available. However, it does not guarantee error-free and uninterrupted operation, in particular during scheduled maintenance, outages of third parties (Stores, hosting and push notification providers, mobile networks) and events beyond its control.
8.2 The Client reports faults by email to filip@vernioapp.com. The Provider will begin resolving faults that prevent use of the App without undue delay, usually within 2 business days.
9. Intellectual property and data
9.1 The Platform and all its parts are and remain the property of the Provider. For the duration of the contract, the Client obtains a non-exclusive right to use the App for the purposes of its business.
9.2 Client Content and the Client’s name, brand and logo remain the property of the Client. For the duration of the contract, the Client grants the Provider a royalty-free license to use them to the extent necessary to provide the Service.
9.3 Data about End Users (e.g. the list of registered users and loyalty program history) belongs to the Client. The Client may at any time during the contract and within 30 days after it ends request an export in a common machine-readable format (e.g. CSV).
9.4 The Provider may list the Client (name and logo) as a reference in its sales materials and on its website unless the Client objects by email.
10. Personal data
10.1 With respect to End Users’ personal data, the Client is the controller and the Provider is the processor. The terms of processing are governed by a data processing agreement under Art. 28 GDPR, which the parties conclude together with the contract.
10.2 The Client is responsible for informing End Users about the processing of their personal data, in particular through the App’s privacy policy. The Provider will supply a template for this purpose.
10.3 The Provider’s processing of the personal data of the Client and its contact persons is governed by the Privacy Policy.
11. Content and communication with End Users
11.1 The Client is responsible for Client Content, including messages and push notifications sent to End Users, and for the rules of the loyalty program, rewards and contests. Content must comply with the law and with Store rules.
11.2 The Provider may, without prior notice, remove or block content that is manifestly unlawful or that jeopardizes the App’s publication in the Stores, and will inform the Client without delay.
12. Liability
12.1 The Provider is liable for damage caused by a breach of its obligations under the Commercial Code. To the extent permitted by law, total compensation for all claims arising in one calendar year is limited to the amount the Client paid the Provider for the Service in the preceding 12 months.
12.2 The Provider is not liable for lost profits or for damage caused by Client Content, by the actions of the Stores and other third parties, by insufficient cooperation of the Client, or by circumstances excluding liability.
13. Term and termination
13.1 Either party may terminate a contract concluded for an indefinite period without giving a reason. The notice period is 1 month and begins on the first day of the month following delivery of the notice.
13.2 A party may withdraw from the contract in the event of a material breach by the other party, in particular if the Client is more than 60 days late with payment.
13.3 The one-time setup fee is non-refundable once work has begun.
13.4 When the contract ends, the Provider will shut down the server side of the App and the App will stop working. The Client will remove it from the Stores, or the Provider will do so at the Client’s request. The Provider will hand over the data under section 9.3 to the Client and then delete it within 60 days unless the law requires it to be kept longer.
14. Communication
14.1 The parties communicate primarily by email. An email is deemed delivered on the business day following the day it was sent, unless the sender received a non-delivery notice.
15. Final provisions
15.1 The Provider may amend these Terms. It will notify the Client of an amendment by email at least 30 days before it takes effect. If the Client does not agree with the amendment, it may terminate the contract with effect from the date the amendment takes effect; otherwise the Client is deemed to have accepted it.
15.2 Legal relations not governed by these Terms are governed by the laws of the Slovak Republic, in particular the Commercial Code. Disputes will be decided by the competent courts of the Slovak Republic.
15.3 If any provision of these Terms becomes invalid, the validity of the remaining provisions is not affected.
